These Terms govern your use of the Website only. They do not govern the use of the Cognihive enterprise platform, which is subject to separate master service agreements (MSAs), data processing agreements (DPAs), and other enterprise terms negotiated directly with our customers.

You must be at least 18 years of age to use this Website. By using the Website, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

Use License

Subject to your compliance with these Terms, Cognihive grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal, informational, and evaluation purposes. This license does not include the right to:

IN NO EVENT SHALL COGNIHIVE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by law.

Upon termination, the following sections shall survive and remain in full force and effect: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law and Dispute Resolution.

Termination of your access to the Website does not affect any separate enterprise agreements you or your organization may have with Cognihive, which are governed by their own terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law principles.

Any disputes arising out of or relating to these Terms or your use of the Website shall be resolved exclusively in the state or federal courts located in the State of Texas. You consent to the personal jurisdiction of such courts and waive any objections based on venue or inconvenient forum.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND COGNIHIVE EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS.

Each party shall bear its own costs and attorneys' fees in any dispute, unless a court awards costs or fees to the prevailing party.

Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cognihive regarding your use of the Website. These Terms do not govern or supersede any separate enterprise agreements, master service agreements, or data processing agreements between Cognihive and its customers.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

The failure of Cognihive to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Cognihive.

Assignment

Cognihive may assign or transfer these Terms, in whole or in part, without restriction and without notice to you. You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Cognihive.

No Agency

Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between you and Cognihive.

Copyright Infringement Notices

Cognihive respects the intellectual property rights of others. If you believe that any content on the Website infringes your copyright, please submit a notice in accordance with the Digital Millennium Copyright Act (DMCA) that includes the following:

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
